Terms of Use

1. Who these terms are between

These terms are between NorthMile and the carrier whose invitation you are using, including every person at that carrier who signs in.

Your invitation is issued to you for one sourcing event. It is not transferable. Sign-in links are single-use and personal to the email address they were sent to — do not forward them or share your access with anyone, inside or outside your company, who has not been invited.

2. Ownership and copyright

Atlas, including its software, design, text, layout, reports, response sheets, generated documents and the Atlas and NorthMile names and marks, is owned by NorthMile and protected by copyright and other intellectual property laws. © 2026 NorthMile Analytics Group. All rights reserved.

You are granted a limited, revocable, non-exclusive licence to use Atlas for one purpose only: preparing and submitting your response to the sourcing event you were invited to, and communicating with NorthMile about it.

You may download, open and complete the documents Atlas gives you, and keep copies for your own records and internal approvals.

You may not copy, republish, resell, sublicense or distribute Atlas or its documents beyond that purpose; reverse engineer, decompile or attempt to derive the workings of Atlas; scrape, crawl, bulk-download or use automated means to access it; remove or alter any notice of ownership; or use the Atlas or NorthMile names or marks without written permission.

3. Confidentiality

Everything Atlas shows you about a sourcing event — lane lists, volumes, historical data, requirements, documents, and the existence and terms of the event itself — is confidential information of NorthMile and its client.

Use it only to prepare your response. Do not disclose it to anyone outside your company, and inside your company only to people who need it to prepare that response and who are bound to keep it confidential.

Carriers invited to an event are competitors. Do not use Atlas to seek, share or coordinate pricing, capacity or bidding intentions with another carrier. Nothing in Atlas is an invitation to do so.

Your pricing is confidential in the same way. NorthMile does not disclose one carrier's rates or submissions to another carrier.

4. Your submission

You are responsible for everything submitted under your carrier's account, whoever at your company entered it.

Rates, commitments, transit times, equipment and any other information you submit must be accurate, complete and something your company is able and willing to honour. Submit a price only where you intend to carry the freight.

A submission is only received when Atlas accepts your upload and shows it as received. A file that fails the upload check has not been submitted. Deadlines shown in Atlas govern; a late or unsubmitted response may be excluded.

You may replace your submission until the event closes. The most recent accepted submission is the one that counts.

5. No offer, and no obligation to award

An invitation to participate is not an offer, a contract, or a promise of freight or volume of any kind.

Your response is an offer to NorthMile's client, open for acceptance in whole or in part. NorthMile and its client may accept, decline, award, split, re-run, extend, change or cancel any part of a sourcing event, for any reason, without liability to you.

Volumes, lane counts and historical data shown in Atlas are estimates drawn from past activity. They are not a forecast or a commitment of future freight.

Nothing is awarded until it is confirmed in a separate written agreement between you and the party contracting with you. Award information shown in Atlas is not that agreement.

You bear your own costs of participating.

6. Access and security

Keep your email account secure and tell NorthMile promptly if you believe someone has gained access to your invitation or your submissions.

Do not attempt to access another carrier's data, probe or test the security of Atlas, interfere with its operation, or use it in any way that breaks the law.

NorthMile records access to Atlas, including sign-ins, downloads and uploads, for security and audit purposes.

NorthMile may suspend or withdraw access at any time, including where an event has closed or where these terms have been broken.

7. Personal data

Atlas holds the business contact details of the people a carrier nominates — name, company and email address — so it can issue invitations, sign-in links and notices about the event, and so it can keep the audit record described above.

That information is used to run the sourcing event and is shared with NorthMile's client for that purpose. It is not sold, and it is not used for unrelated marketing.

8. Availability and accuracy

Atlas is provided as it is. NorthMile does not guarantee that it will be uninterrupted or error-free, and may change, suspend or withdraw any part of it.

While NorthMile takes care with the data it publishes to carriers, it does not warrant that every figure in an event is complete or accurate, and a carrier should price on its own judgement.

To the fullest extent the law allows, NorthMile is not liable for indirect or consequential loss, or for loss of profit, revenue or business opportunity, arising from your use of Atlas or your participation in an event.

Nothing in these terms limits liability that cannot lawfully be limited.

9. Changes to these terms

NorthMile may update these terms. The current version and its date are shown at the top of this page, and the version in force is the one published here when you use Atlas.

Material changes during a live event will be notified to participating carriers by email.
